Welcome to monoya K.K.! By using our website (the "Site"), you agree to be bound by these terms and conditions. monoya K.K. provides products and services exclusively to business entities (companies) and not to individual consumers.

All products listed on the Site are subject to availability and may be subject to change without notice. In the event that a product is sold out at the time you place your order, monoya K.K. will notify you as soon as possible and provide options for either a refund or an alternative product, if available.

You agree to use our services only for lawful purposes and in accordance with these terms. All transactions and interactions must be conducted in a business-to-business (B2B) context.

5. Payment Terms

You must provide valid payment information and are responsible for all charges incurred through your account. Payments must be made by an authorized representative of your company.

6. Shipping and Delivery

monoya K.K. will facilitate the shipping and delivery of products from exhibitors to you. Shipping times and costs may vary based on your location and the products ordered. monoya K.K. is not responsible for any delays or damages that occur during shipping.

7. Risk of Loss

All items purchased from monoya K.K. are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

8. Returns and Refunds

monoya K.K. handles returns or refunds directly. Any requests for returns or refunds must be directed to monoya K.K. With legitimate reasons and investigation, should monoya K.K. agrees for returns or refunds, money will be paid back to the buyer or the buyer will be provided with a replacement.

9. Product Descriptions

monoya K.K. and its associates attempt to be as accurate as possible. Due to exhibitors’ craftsmanship, color, shape, size may differ by product. monoya K.K. does not warrant that product descriptions or other content of this site are accurate, complete, reliable, current, or error-free. If a product offered by monoya K.K. itself is not as described, your sole remedy is to return it in unused condition.

10. Product Inventory

Availability of stocks are not always updated to the latest; thus, there may be times where you will be informed of a lack of stocks. In such a case, you will be refunded by monoya K.K.

11. Indemnity

You agree to indemnify and hold monoya K.K., its affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your violation of these terms, or your violation of any rights of another.

12. Limitation of Liability

monoya K.K. is not responsible for any indirect, incidental, or consequential damages arising from the use of our services.

13. Relationship Between Users and Exhibitors

In the event that you wish, for the first time, to purchase products from an exhibitor on the Site, you agree to disclose your store information to the said exhibitor, and shall be subject to the said exhibitor’s inspection. monoya K.K. shall continuously sell products of the said exhibitor to you if you qualify the exhibitor’s inspection, unless the exhibitor expresses its intent otherwise thereafter; provided, however, that monoya K.K. shall not be obliged to respond to your application for the purchase of products.

14. Prohibition of Direct Transaction

You are prohibited from contacting an exhibitor directly or engaging in direct transactions with an exhibitor without the consent of monoya K.K. If an exhibitor approaches you for a direct transaction, you must immediately report this to monoya K.K.

15. Copyrights

All content, including but not limited to text, images, graphics, and software, on the Site is the property of monoya K.K. or its licensors and is protected by copyright laws. Unauthorized use of any content is strictly prohibited.

16. Amendments to Terms

monoya K.K. reserves the right to amend these terms at any time. We will notify you of any changes by posting the updated terms on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new terms.

17. Force Majeure

monoya K.K. shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, and natural disasters.

18. Governing Law

These terms are governed by the laws of Japan, without regard to its conflict of law principles.

19. Court of Jurisdiction

Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the Tokyo District Court in Japan.
